Schedule AU: Australia

Document version: 1.1 · Version date: 28 October 2026

This Schedule forms part of the W3ME Platform Terms of Service (Master Agreement) and the W3ME Network Trading Terms. It applies to every workspace whose recorded country is Australia.

Words defined in the Master Agreement have the same meaning here. Where this Schedule and the Master Agreement differ, this Schedule prevails (Master Agreement clause 1.6).

1. Contracting entity

Entity

W3ME Pty Ltd

ABN

35 683 322 803

Registered in

Australia

References in the Master Agreement to “we”, “us” and “our” mean W3ME Pty Ltd.

2. Currency, tax and business identity

2.1 Currency: Australian dollars (AUD).

2.2 Tax: Goods and Services Tax (GST) under the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

2.3 All amounts we quote, publish, invoice or debit are exclusive of GST. GST is added where the law requires it, and is shown separately on every invoice and statement.

2.4 Business identity scheme: the Australian Business Number (ABN). Where the Master Agreement refers to your business identifier, it means your ABN.

2.5 Tax invoices we issue meet the requirements of the GST Act.

3. Payment methods

3.1 For the purposes of Master Agreement clause 7.2, the payment method available in Australia is a card:

Method

How it works

Used for

Where you set it up

Card

A Visa, Mastercard or American Express card, held by Stripe. We never see or store the full card number.

Platform bills (charged when issued), and network trade statements

At signup, or in Settings

3.1a A card is added at signup, and signup is not complete without one: on the Owner Driver tier too. Your workspace is not opened until the card is on file. You can replace it at any time in Settings.

3.1b Bank direct debit (BECS) is not offered at present. If we offer it, we will add it to this Schedule first, with notice under Master Agreement clause 2.3, and it would then be for network trade statements only: platform bills are always charged to a card.

3.2 You must keep at least one valid method on file, as required by Master Agreement clause 7.1.

3.3 The W3ME Payment Authority governs what may be debited from your card for network trade statements. Platform bills are charged to a card under Master Agreement clause 7.3. Nothing in this Schedule widens either.

3.4 Direct debit service agreement: if bank direct debit is offered (clause 3.1b). A BECS direct debit would be established through Stripe, who are the debit user for it. Stripe’s Direct Debit Request Service Agreement would be presented to you at the moment you set the authority up, and you would accept it there. It applies in addition to the W3ME Payment Authority and sets out your rights in relation to the debit arrangement, including how to cancel it with your bank. We record that you accepted it, and the date.

3.5 Interest. We do not currently charge interest on an overdue amount, under either Master Agreement clause 7.9 or Network Trading Terms clause 6.10a. If we introduce it, the rate will be the Reserve Bank of Australia cash rate plus 2% per annum, calculated daily, and we will give you 30 days notice before it applies to you. Interest would be invoiced and is never taken by automatic debit.

4. Network statements

4.1 For the purposes of Network Trading Terms clause 6.5, the payment term for a network trade statement in Australia is 7 days from the date of the statement, unless we agree different terms with you in writing.

4.2 Network prices are exclusive of GST, and are otherwise gross as Network Trading Terms clause 4 describes.

4A. Recipient-created tax invoices (RCTIs)

This clause gives effect to Network Trading Terms clause 6.9 in Australia. It is the written RCTI agreement between W3ME and the performing operator, and it forms part of your agreement with us. It is drafted to the A New Tax System (Goods and Services Tax): Recipient Created Tax Invoice Determination 2023 (LI 2023/20).

4A.1 What it covers. On a pool-found network trade, W3ME buys the job from the performing operator under the buy contract. Rather than requiring that operator to issue us a tax invoice, we issue a recipient-created tax invoice (RCTI) for the taxable supply that operator makes to us.

4A.2 When you enter this agreement, and what you agree. You enter this RCTI agreement when you join the W3ME network while this clause is in force. From that moment, the performing operator agrees that:

  • W3ME may issue RCTIs for the taxable supplies the performing operator makes to W3ME on pool-found network trades;

  • the performing operator will not issue a tax invoice for a supply covered by an RCTI; and

  • W3ME may issue adjustment notes in relation to those supplies.

4A.2a W3ME determines the value of the supply, and that is how the platform works. On a pool-found trade W3ME sets the price it will pay the performing operator: the buy price is ours, it is shown to that operator before they commit, and the performing operator does not quote W3ME a price. So W3ME, as recipient, determines the value of the performing operator’s taxable supply. This is stated as a description of the mechanism, not as a warranty by either party: it is how the network is built, and it is why the recipient rather than the supplier issues the tax invoice.

4A.3 Both parties are registered for GST, and each acknowledges it now. At the time of entering this agreement:

  • W3ME acknowledges that it is registered for GST, and will notify the performing operator in writing if it ceases to be registered; and

  • the performing operator acknowledges that it is registered for GST, and will notify W3ME in writing if its registration lapses, is cancelled, or otherwise ceases to be current.

Each party also acknowledges that the other is registered for GST at the time of entering this agreement.

4A.4 W3ME’s further undertaking. W3ME undertakes that each RCTI it issues will comply with the requirements of the GST law, and that it will retain the original or a copy of each RCTI and adjustment note it issues.

4A.5 When an RCTI is issued: the outer bound. W3ME will issue the RCTI, or a copy of it, to the performing operator within 28 days of the earlier of the day the supply is made and the day W3ME determines the value of the supply, and in any event within 28 days of the performing operator requesting it.

In practice it is far sooner: network statements and the tax documentation that goes with them are issued weekly, on Mondays (Network Trading Terms clause 6.1), so an RCTI reaches the performing operator within days of the job completing. The 28 days is the outer limit, not the intention.

4A.6 We do not issue where registration is invalid. W3ME will not issue an RCTI for a supply made by an operator whose GST registration is not valid at the time of the supply. Where we become aware that a registration was not valid, we will correct the position and issue any adjustment required.

4A.7 Either party may end the arrangement. Either W3ME or the performing operator may terminate this RCTI arrangement by notice in writing to the other. Termination takes effect on receipt and does not affect an RCTI already issued. After termination the performing operator issues its own tax invoices for pool-found trades.

4A.8 Records. Both parties must retain RCTIs and adjustment notes for the period the tax law requires, see clause 4B.

4B. Record retention

4B.1 For the purposes of Master Agreement clause 13.5 and the Privacy Policy, the Australian records-retention position is:

Records

Period

Tax and business records, including invoices, statements, RCTIs and adjustment notes

5 years, as the Income Tax Assessment Act 1936 (Cth) and the GST law require

Delivery evidence: proof of delivery, photographs, signatures, scan events

7 years from the date of the event, as Master Agreement clause 13.5 provides

4B.2 The evidence period is longer than the statutory minimum deliberately: delivery evidence substantiates an operator’s income and its disputes, and a freight dispute can arrive years after the job.

5. Consumer protection

5.1 For the purposes of Master Agreement clause 19, the consumer protection law of this region is the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).

5.2 Nothing in this agreement excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot be excluded, restricted or modified. To the extent a provision would do so, it does not apply.

5.3 Where we are permitted to limit our liability for breach of a consumer guarantee, our liability is limited, at our option, to:

  • supplying the services again; or

  • paying the cost of having the services supplied again.

5.4 The unfair contract terms regime under the Australian Consumer Law applies to this agreement. If a term is found unfair, Master Agreement clause 28.2 applies to it.

6. Liability cap floor

6.1 For the purposes of Master Agreement clause 21.3(b), the Cap Floor is:

AU$10,000, exclusive of GST.

6.2 Our total liability in any 12-month period is therefore the greater of the amounts you paid us in the preceding 12 months and AU$10,000. There is no second limb and no formula.

7. Governing law and disputes

7.1 Governing law: the laws of New South Wales, Australia.

7.2 Jurisdiction: each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the courts hearing appeals from them.

7.3 Mediation body for the purposes of Master Agreement clause 25.2: the Australian Disputes Centre, Sydney.

7.4 Business day: a day that is not a Saturday, Sunday or public holiday in Sydney, New South Wales.

7.5 Related body corporate has the meaning given in the Corporations Act 2001 (Cth).

8. Privacy and data

8.1 Privacy law: the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

8.2 Regulator: the Office of the Australian Information Commissioner (OAIC), oaic.gov.au, 1300 363 992, GPO Box 5218, Sydney NSW 2001.

8.3 Data location: your data is hosted in Australia, in Amazon Web Services’ Sydney region. Its primary backups are also held in Australia, with a backup replica in Amazon Web Services’ Melbourne region. The one copy held outside Australia is a last-resort copy of database backups, kept with a second provider in the United States solely for disaster recovery and never used for processing. It is encrypted with keys held by W3ME before it leaves Australia, so the provider cannot read it; the provider also encrypts it at rest, and it is sent over an encrypted (TLS) connection (Privacy Policy clause 10.2a). Service providers operating from other countries are identified in the Privacy Policy.

8.4 Data breach notification follows the Notifiable Data Breaches scheme in Part IIIC of the Privacy Act 1988 (Cth).

9. Electronic messaging

9.1 For the purposes of Master Agreement clause 17.3, the electronic messaging law of this region is the Spam Act 2003 (Cth). Where we send mail on your behalf under Master Agreement clause 17, you remain responsible for consent and for compliance with that Act in relation to those messages: for holding the right to contact the recipient, for the content, and for honouring an opt-out. How the Act allocates the role of “sender” between us is a matter for the Act; nothing in this Schedule alters it.

10. Transport law

10.1 For the avoidance of doubt in Master Agreement clause 21.6, the compliance obligations referred to include those under the Heavy Vehicle National Law as applied in the relevant State or Territory, including chain of responsibility duties, fatigue management, and mass, dimension and loading requirements, together with the applicable dangerous goods and work health and safety legislation.
